Terms of Service – InvoiceFlows

1. Agreement to Terms

By accessing or using InvoiceFlows ("the Service"), operated by InvoiceFlows ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

InvoiceFlows is a software-as-a-service (SaaS) platform that helps small businesses manage invoices and automate payment reminders using AI-generated communications. The Service includes invoice creation, AI-powered reminder scheduling, email delivery, PDF generation, and payment tracking.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Free Trial

New accounts receive a 30-day free trial with full access to all features. At the end of the trial, you must subscribe to a paid plan to continue using the Service. No payment information is required to start the trial.

5. Subscription and Billing

Paid plans are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions auto-renew unless cancelled before the next billing cycle. You can manage your subscription and payment methods through the billing settings in your account.

6. Refund Policy

We offer a 30-day money-back guarantee for new subscribers. If you are unsatisfied with the Service within 30 days of your first payment, contact us at support@invoiceflows.net for a full refund. After 30 days, subscription payments are non-refundable. Partial-month refunds are not provided for mid-cycle cancellations.

7. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or to send spam
Upload content that is defamatory, fraudulent, or harassing
Send reminders to recipients who have not had a legitimate business relationship with you
Attempt to interfere with or disrupt the Service infrastructure
Circumvent rate limits, usage quotas, or security controls
Resell, sublicense, or redistribute the Service without written permission

We reserve the right to suspend or terminate accounts that violate these terms or that damage our email sending reputation (e.g., high bounce or spam complaint rates).

8. Data and Content

You retain ownership of all data you upload to the Service, including invoice details, client information, and company branding. We do not claim ownership of your content. You grant us a limited license to process, store, and transmit your data solely to provide the Service.

We will never sell, rent, or share your data with third parties for marketing or advertising purposes. Your data is used exclusively to operate the Service. We will never send you unsolicited marketing emails — the only emails you receive from us are transactional (e.g., password resets, trial reminders, service notices).

9. AI-Generated Content

The Service uses AI (Amazon Bedrock) to generate reminder email content. AI-generated messages are suggestions — you are responsible for reviewing any content before it is sent on your behalf. We do not guarantee the accuracy, tone, or appropriateness of AI-generated text.

10. Email Sending

Reminder emails are sent via Amazon SES on your behalf. You are responsible for ensuring that the recipients of your reminders have a legitimate outstanding invoice. We comply with applicable anti-spam laws and may suspend sending privileges if bounce or complaint rates exceed acceptable thresholds.

11. Limitation of Liability

To the maximum extent permitted by law, InvoiceFlows shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

12. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible. We are not liable for downtime caused by factors beyond our reasonable control, including AWS infrastructure outages.

13. Termination

You may cancel your account at any time through your account settings. Upon cancellation, your data will be retained for 30 days, after which it may be permanently deleted. We may terminate or suspend your account immediately for violations of these Terms.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
